History

Prior to incorporating CDC Software Corporation in 2009, CDC Corporation (formerly known as Chinadotcom) established CDC Software in October 2002 to focus on the development and acquisition of software products and strategic partnerships. The goal of this effort was to improve its gross margins through software license sales as well as increase recurring revenue through the support and maintenance of such licensed products. [3]

CDC Software Corporation is a wholly-owned subsidiary of CDC Corporation, (NASDAQ:CHINA). The CDC Corporation family of companies includes CDC Software (NASDAQ: CDCS) focused on enterprise software applications and services, CDC Global Services focused on IT consulting services, outsourced application development and IT staffing, CDC Games focused on online games, and China.com, Inc. CDC Front Office Solutions

Saratoga Systems – CRM

Saratoga CRM was an attractive acquisition target for CDC Software Corporation for its suitability for large companies in the chemicals, consumer products, energy, insurance and selected manufacturing industries. At acquisition Saratoga had more than 350 customers globally, including Allstate, BASF, Blue Cross Blue Shield of GA, Ciba Specialty Chemicals, Dresser-Rand, Exelon (Commonwealth Edison), Johnson Controls, Konica Minolta, Metropolitan Life, Progressive Companies, Tyco Healthcare and Wellpoint Health Networks. The addition of Saratoga CRM to CDC Software Corporation was a complement to the company's Pivotal CRM applications, which were designed primarily for financial services, home building and additional manufacturing industries. The Saratoga CRM applications were also viewed as complementary to the Ross Enterprise solutions for chemicals manufacturers, and the Respond applications for complaint and feedback management. [9]

Respond Group Ltd – complaints and enterprise feedback management software

The acquisition of Respond Group Ltd., a leading European provider of software applications for improving customer service through the management of complaints and enterprise feedback, brought 800 more customers to the CDC Software Corporation family largely in government, financial services, and healthcare. Pivotal CRM customers in the home building and real estate industries where complaint management and customer service are critical made this acquisition a good fit. Both Respond and Pivotal CRM share complementary architectures based on standard Microsoft platforms, are Internet accessible and share a common focus on flexibility and extensibility. [10]

Pivotal Corporation and MarketFirst – CRM and enterprise marketing automation

The acquisition of Pivotal Corporation added marketing, sales, service and partner management capabilities to CDC Software's existing Enterprise Resources Planning ("ERP"), Supply Chain Management ("SCM") and Human Resources and Payroll ("HRP") product offerings. The acquisition of Pivotal brought an additional 1,700 customers to the Company’s customer base, also providing a solid platform for cross-selling synergies within the group and extending Pivotal’s reach further into the Asian market. Integrated Solutions Limited – ERP for small and medium-sized discrete manufacturing firms

Integrated Solutions Limited (ISL) introduced ERP applications for 150 small and medium-sized discrete manufacturers to the CDC Software Manufacturing portfolio of products. ISL's e-M-POWER ERP suite directly addresses purchasing, sales, inventory, production, mold management, finance and compliance for small and medium-sized discrete manufacturers. [7]

MVI Technology – packaged software for manufacturing operations management

The acquisition of MVI Technology – re-branded CDC Factory - provided expertise and production monitoring solutions to complement CDC Software's ERP and SCM solutions. [11]

Ross Systems, Inc. – ERP software for process manufacturing

The acquisition of Ross Systems brought this company's comprehensive suite of modular enterprise resource planning solutions for manufacturing, financials, supply-chain management, performance management, and regulatory compliance to the CDC Software product portfolio, as well as tailored industry solutions for food and beverage, life sciences, chemicals, metals, and natural products. Ross Systems added 1,000 customers to CDC Software’s customer base. [14]

CDC Supply Chain Solutions

Catalyst International, Inc. – supply-chain execution solutions and services

The acquisition of Catalyst International expanded the Company’s global supply-chain offerings and base of blue-chip customers, while also strengthening the CDC Global Services offerings by adding significant expertise and resources in large-scale supply-chain execution. [8]

The acquisition of JRG Software gave the Company on-demand planning and scheduling applications that are highly complementary to the company's global suite of industry-specific enterprise applications. [12]

IPO

On August 6, 2009 CDC Software Corporation completed its initial public offering (IPO) on the NASDAQ Global Market under the ticker “CDCS.” The company’s IPO included 4,800,000 American depositary shares, each representing one share of its class A ordinary shares, priced at USD 12.00 per ADS. Lazard Capital Markets LLC and JMP Securities LLC acted as joint book-running managers for the offering. Cantor Fitzgerald & Co., Janney Montgomery Scott, Macquarie, and Morgan Keegan & Company Inc. were the co-managers of the offering. [19]

Technology and Applications

CDC Software Corporation is focused on the delivery of front and back office software solutions for mid-sized enterprises around the globe. CDC Software also provides additional solutions to enhance Microsoft solutions including Microsoft Dynamics CRM. CDC Software is organized into four distinct business units, focusing on providing software solutions and / or services for the front office, back office, supply chain and Microsoft technologies. CDC Front Office Solutions

This business unit within CDC Software focuses on the delivery of front-office solutions for mid-sized enterprises. The companies that comprise the CDC Front Office Solutions business unit of CDC Software include Pivotal CRM, Saratoga CRM, CDC MarketFirst, and CDC Respond.

The “front office” refers to those parts of the organization that “touch” the customer – that are outward-facing rather than inward-facing –. Front-office solutions include software and database applications that help automate and manage activities related to marketing, sales, and customer service and support. These solutions are critical for employees who are charged with the acquisition of customers (marketing and sales) or the support of customers (service). Common front-office solutions: customer relationship management (CRM), marketing automation, complaint management, and enterprise feedback management (EFM) solutions.

Pivotal CRM

Pivotal CRM is known in the CRM space for its focus on helping mid-sized enterprises [20] with unique or complex front office business processes.

Pivotal CRM 6.0 is built on the Microsoft.NET. The product embeds commonly used Microsoft business products within the CRM system, including Microsoft Office, Microsoft Outlook, Microsoft SharePoint, and Microsoft Visual Studio. As such, it is an example of an Office Business Application.

Pivotal CRM is primarily implemented as an “on-premise” solution, as opposed to “SaaS” or “on-demand” CRM software product.

Saratoga CRM

Saratoga CRM became part of CDC Software Corporation as the result of the acquisition of Saratoga Systems in April 2007. [21] Headquartered in California, with offices across Europe, Saratoga’s CRM and wireless solutions today are used by large companies predominantly in the chemicals, consumer products, energy, insurance and selected manufacturing industries. Customers using Saratoga CRM include Allstate, BASF, Blue Cross Blue Shield of GA, Ciba Specialty Chemicals, Dresser-Rand, Exelon (Commonwealth Edison), Johnson Controls, Konica Minolta, Metropolitan Life, Progressive Companies, Tyco Healthcare and Wellpoint Health Networks. [22] The Saratoga CRM portfolio includes Apresta™, dedicated to the real-time delivery of CRM and other enterprise information to mobile employees via wireless solutions. [23]

CDC Software has continued to advance the Saratoga CRM solution since acquiring Saratoga Systems in April 2007. The company has released regular software updates since acquisition, and recently (Q2 2009) announced the next release of Saratoga CRM, codenamed Bordeaux. Bordeaux offers a migration path forward for Saratoga CRM customers looking for a packaged CRM application together with the tools required to customize workflows to their business processes. [24]

CDC MarketFirst, as the Marketing Automation and Lead Management product suite is now known, is marketing automation and lead management software system. The product’s capabilities include:

CDC Respond (Customer Complaint Management)

CDC Respond is a suite of software applications for complaint and enterprise feedback management. CDC Respond is adopted by companies who seek insight into how their products and services are perceived so they can highlight problems and issues and improve their customer’s experience. [26]

Originally called Respond Group Ltd., CDC Respond became a key application suite in the CDC Front Office business unit of CDC Software in February 2007. Today CDC Respond is used by more than 800 customers globally in industries including financial services, government, healthcare and others, where regulatory requirements and / or customer experience management are key to organizational success. [27]

CDC Respond solutions include packaged applications to:

  • Enable customers to log feedback through multiple channels
  • Enable employees to capture and process feedback through multiple customer touch-points
  • Gather, report and manage intelligence related to customer and employee feedback
  • Record and monitor feedback management processes for internal auditing and quality purposes
  • Demonstrate effective complaints processes for external market regulator as required. [28]

CDC Back Office Solutions

Back office solutions refer to the software applications used to manage and automate information and processes related to functions such as accounting, finance, purchasing, manufacturing, distribution, and human resources, among other functions, in organizations. In the context of the manufacturing industry, back office solution software includes systems for enterprise resource planning (ERP), supply chain management (SCM), among others. Back office solutions are distinguished from front office solutions .

Ross Enterprise

Ross Systems was founded by Ken Ross in 1972 in Atlanta, Georgia as a contract programming and systems analysis firm. Ross Systems later became a major vendor of application software that ran on the DEC platform. The company was sold to a group of investors in 1988 and went public on NASDAQ as Ross Systems under ticker ROSS. [29] In August 2004, Ross Systems was acquired by CDC Corporation and became the cornerstone of CDC Software’s back office solutions for manufacturing.

Ross ERP is an enterprise resource planning software solution that is 100% focused on the needs of process manufacturing companies. Process manufacturers have unique requirements distinct from those of discrete manufacturers. Ross ERP provides process manufacturers with the software to manage resources through every stage of the manufacturing process. [30]

The Ross family of software solutions includes IRENAISSANCE™, an integrated suite of enterprise resource planning (ERP), financials, materials management, manufacturing and distribution, supply chain management, advanced planning and scheduling, customer relationship management, electronic commerce, business intelligence, and analytics applications. The company also provides professional services including application consulting, technical consulting, and training. [30]

'Process Manufacturing'
Process manufacturers include food & beverage manufacturers, chemical manufacturers and pharmaceutical manufacturers; they also include metals manufacturers (e.g. steel or iron producers) and building materials or “natural” product manufacturers, such as glass, tile or brick manufacturers, among others. These manufacturers all follow a recipe or formula through a set series of steps – a process – and variability in ingredients, components, conditions, or the process itself may come into play throughout the manufacturing process. Process manufacturers, unlike discrete manufacturers, have unique requirements from their back office software. Some of these requirements and how they differ from those of discrete manufacturers include the following:

Raw materials management:

  • The software must be capable of managing raw materials or active pharmaceutical ingredients down to the lot level with multiple units of measure. For example, if the manufacturer is making chocolate chip cookies, every ingredient in the cookies must be fully traceable back to the original supplier.
  • In process manufacturing, it’s common to require the software to be able to deal with dual units of measure. For example, in the food industry it’s necessary to be able to capture the unit, the weight and the type. For example, if you are packaging poultry you’d need to be able to output 1 package (unit) of chicken thighs (type) that weighs 1.23 pounds (weight). The software system has to be able to deal with the unit number, the weight, and type of the packaged product.
  • Discrete manufacturers do not track as many units of measure, and the regulatory requirements around material traceability in the area of durable vs. consumable goods is less rigorous. As a result, a furniture manufacturer, for example, is unlikely to be required to provide the same level of granularity in raw materials reporting and tracing as a chocolate chip cookie maker, simplifying the software requirements for a discrete manufacturer.

By-product management:

  • The software must have the flexibility and depth to allow for by-products of one manufacturing process to be used in another manufacturing process; when this takes place all raw ingredients or active pharmaceutical ingredients must still be traceable back to the original supplier.
  • For example, crumbled cookies from the chocolate chip cookie manufacturing process may be used in another manufacturing process for chocolate chip cookie ice cream; as with the management of raw materials, the components of these cookies must be fully traceable back to the original supplier.
  • The software has to provide for “by-directional” traceability; that is, either the original ingredient supplier could notify the manufacturer of a problem with an ingredient, allowing the manufacturer to trace where the product was shipped, facilitating product recalls; or, a report could be made by a consumer of an issue with the product that would allow the manufacturer to trace the product back to its component ingredients or manufacturing line to ensure that the issue is contained.
  • In a discrete manufacturing process, this kind of branching and complexity of the original line tends not to take place, reducing the complexity of the overall process and therefore simplifying the requirements of the software. And, there tends to be a lack of regulation of the product, meaning that while you may be able to trace the origin of a consumer electronic item such a laptop, for example, based on a serial number, but the component parts that may fail largely have no such identifiers, making traceability much less possible.

Variability management:

  • The software must provide for the management of inventory on the basis of potential variability of the raw materials or the manufacturing environment itself e.g. fat content, acidity, air temperature, humidity etc.
  • For example, butter from one supplier may have a slightly different moisture level than another supplier; this may require an adjustment to the recipe due to the different moisture level. Or, two manufacturing plants in different altitudes with different relative humidity may adjust the recipe or the process to account for these differences to ensure that the finished products are consistent with one another despite differences in conditions.
  • In a discrete manufacturing process, items are produced based on a bill of materials (BOM); these may include items such as a laptop computer, household appliances, furniture, automobiles, etc. There is little variation in the raw materials that are used to manufacture the item and there is little variation from one item to another. These items tend to be durable and tend to be composed of a standard set of parts that you can assemble into the same product over and over again.

Shelf life / expiration date management:

  • The ingredients that make up a product that is produced following a process tend to have expiration dates that must be managed to make optimal use of the ingredients to ensure a longer-lived finished product and to reduce waste and spoilage during the manufacturing process. The finished product itself will also have an expiration date – or “best before” date – that must be managed. This is true of products which have short shelf-lives and must also be shipped.
  • The products of a discrete manufacturing process tend to be durable and have indefinite shelf life, which reduces the complexity of the manufacturing process.

CDC Factory

MVI Technology was acquired by CDC Software in 2006 and its software solution was subsequently re-branded as CDC Factory. [31]

CDC Factory is a packaged manufacturing operations management system that provides insight into manufacturing performance together with “actionable insight” to impact the people on the factory floor in real-time. By standardizing the best practices of lean manufacturing, OEE and continuous improvement, CDC Factory provides a real-time framework that unites scheduling, operations, quality and maintenance. [32]

CDC Factory Express was introduced in March 2009 to address the needs for small to mid-sized enterprises. [33] [34]

Manufacturing companies, particularly in the food and beverage industry, have always faced challenges. Supply and cost of both commodities and labor are constantly in flux, so controlling costs and supply management are crucial. When faced with external forces such as the current economic recession, demand for low cost private label goods is another, driving manufacturers across the board to explore ways to reduce the overall cost to consumers. Manufacturers must aspire to be the lowest cost producer to maintain their contracts and increase market share. Historically, manufacturing companies have dipped into large capital budgets to buy new equipment and/or build new plants as they strive to become ever-more efficient and lower the overall cost of production. However, the current economic recession in some countries has made access to funds for large-scale projects challenging, and companies must look to utilize existing resources – including materials, equipment, facilities and people – as cost-effectively as possible to compete. Additionally, any capital project must demonstrate a fast, sustainable and near-term, not long-term, payback. [35]

CDC Factory offers manufacturers a performance management and optimization software solution to address the market expansion opportunity quickly, not just by gathering plant intelligence, but by empowering workplace personnel to take action. CDC Factory combines real-time plant performance intelligence with action-taking to mobilize people and effect immediate change. CDC Factory helps manufacturers monitor performance in the context of overall equipment effectiveness (OEE) to identify how well a particular line or product is performing, all in real time. Personnel consult a terminal on the shop floor that pinpoints performance against key indictors; information is updated so personnel can take action rather than analyze and change later. The software automates the quality assurance function, making the environment paperless, impacting management performance and productivity. [36] [32]

CDC Factory provides a 3-day Factory Profit Audit™, which addresses the needs of process-intensive manufacturers. The goal of the Factory Profit Audit is to set EBIT expansion improvement targets, quantify cost saving opportunities, benchmark against the leaders in the industry, rank and prioritize improvement focus, quantify the improvement potential of hourly paid employees, and catalogue quick win opportunity areas. CDC Supply Chain

CDC Supply Chain is comprised of supply chain solutions from Industri-Matematik International (IMI) acquired by CDC Software in September 2003 [67], and Catalyst International, Inc. acquired in September 2007. [80] Re-branded as CDC Supply Chain, the solution includes execution products (e.g. WMS, Slotting Optimization, and Supplier Quality modules) and enterprise-wide products (e.g. TMSi – a portion of its Transportation module that provides freight rates for parcel companies based on specific products, dynamic route planning, and labor management). [37]

CDC Supply Chain solutions were built on an open architecture and include integration layers, so the products can be interfaced with custom software and large ERP (enterprise resource planning) software applications. The solution is a modifiable, rules-based system that offers business areas additional flexibility and customization without relying on IT departments for changes. [37]

The CDC Supply Chain solution suite includes Warehouse Management, Distributed Fulfillment, Transportation Management, Dynamic Route Planning, Visibility, Labor Management, Cross Dock Planning, Yard Management, Inventory Optimization, and Demand Planning modules. [37]

To expand its capabilities, CDC Software acquired WKD Solutions, Ltd. September 10, 2009 and plans to add WKD Solutions’ product suite to the CDC Supply Chain portfolio of applications. WKD Solutions is a UK-based provider of supply chain event management and business activity monitoring (BAM) solutions. [38]

WKD Solutions, marketed under the brand name Categoric, provides information about the status and results of various operations, helps predict issues before they arise and alerts users on exceptions or problems. The solution also includes Sarbanes-Oxley auditing and compliance capabilities. [38]

CDC Software has a business unit focused on helping companies around the world leverage their investments in Microsoft CRM and other Microsoft technologies with both packaged products and consulting services. CDC Platform Solutions include Vis.align [39] and c360 [40].

Vis.align

Vis.align is a services business of CDC Global Services. Vis.align provides solutions for Microsoft technologies, onsite and remote help desk, desktop deployment and custom application development services. [39]

c360

c360 is a provider of add-on products, industry solutions and development tools for the Microsoft Dynamics CRM platform. c360 products are sold through a network of over 850 authorized partners that have delivered c360 solutions to more than 2,500 customers worldwide.
